AGI grants you access to use the Site for non-commercial, information purposes only. You may not duplicate, download, publish, distribute, sell, loan, alter, modify, create derivative works from, or publicly display the material published on this Site (the "Content") without our express written consent. You may not use the Content to compile data in a manner that is usable by a competitive listing product or service.

The Content contains information provided by third parties including, but not limited to, advertisers, vendors, software developers, and others. In addition, the Site provides links to external websites operated by third parties ("Third Party Sites"). Some of the business listings on the Site may be supplied by third parties, such as Thryv, Inc. previously known as DexYP or other third party data providers.

Reviews and User-Generated Content Guidelines

5. Content that is offensive, threatening, abusive, harassing, obscene, pornographic, lewd, profane, hateful, or otherwise inappropriate (as determined in Our sole discretion);
   
   
6. Content intended to annoy, harass or anger others (e.g. “trolling”);

Allegations of unlawful conduct, including allegations of illegal activity, criminal behavior, malpractice, intentional overcharging, fraudulent advertising (to report such allegations you are encouraged to contact the local police or appropriate regulatory authorities who have the ability investigate and handle such situations);

9. Reviews that relate to experiences that occurred more than 12 months in the past; or
   
   
10. Content that otherwise violates any of Our business standards or policies as determined in Our sole discretion
    We reserve the right, but do not assume the obligation, to remove any reviews or other user-generated content that violate Our standards or policies, in Our sole discretion.

Indemnification

You agree to indemnify, defend, and hold harmless AGI (and Our employees, affiliates and agents) from all liability, claims, demands, suits or causes of action made by any third party arising out of your breach of these Terms of Use, whether or not fully or partially attributable to Our negligence. These obligations will survive any termination of these Terms of Use.

Governing Law; Consent to Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of the State of California, without regard to conflicts of laws principles. You consent to the exclusive personal jurisdiction of and venue in the courts of the State of California for any suits or causes of action connected in any way, directly or indirectly, to the subject matter of these Terms of Use or to the Site.

Miscellaneous

These Terms of Use and any and all documents specifically referenced herein constitute the entire agreement between you and AGI Publishing, Inc. with respect to the subject matter hereof. If any provision contained in these Terms of Use is determined by a court of competent jurisdiction to be illegal, invalid or otherwise unenforceable, that provision shall be severed from these Terms of Use and the remaining provisions shall continue in full force and effect.

Changes

These Terms of Use may be amended from time to time without notice. Changes to these Terms of Use will be posted on the Site, and your continued use of the Site following such posting shall constitute your acceptance of the revised Terms of Use.
